These Terms of Service (“Terms”) govern your use of Quillific (“Quillific”, “we”, “us”, “our”) and all related tools, features, and services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Services.

These Terms should be read together with our Privacy Policy, Cookie Policy, and, where applicable, our Data Processing Agreement (DPA).

1. Eligibility and Accounts

You must be at least 16 years old to use the Services. By creating an account or using the Services, you represent and warrant that you meet this requirement.

To access certain features, you may need to create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your login credentials and for all actions taken under your account.

2. Use of the Services

You agree to use Quillific only for lawful purposes and in accordance with these Terms. You may not use the Services to:

  • Violate any applicable law or regulation;
  • Upload or transmit content that is unlawful, harmful, defamatory, infringing, or otherwise inappropriate;
  • Attempt to gain unauthorized access to the Services or related systems;
  • Interfere with or disrupt the Services, networks, or servers;
  • Reverse engineer, decompile, or disassemble any part of the Services, except where permitted by law;
  • Use the Services to develop or train competing AI models or writing tools, except with our written permission.

3. User Content

“User Content” means any text, prompts, instructions, documents, or other material that you submit or upload to Quillific.

You retain ownership of your User Content. By submitting User Content, you grant us a limited, non-exclusive, revocable license to process it solely for the purpose of providing the Services, including generating outputs, maintaining backups, improving quality of service, and ensuring security and integrity of the system.

We do not use your User Content to train advertising models, develop external datasets, or create marketing profiles.

4. AI-Generated Outputs

Quillific may generate content or suggestions based on User Content or your interactions with the Services. You understand that:

  • AI-generated content may contain inaccuracies or errors;
  • You are responsible for reviewing, fact-checking, and editing the generated content;
  • We are not liable for any harm arising from reliance on AI-generated outputs.

Where permitted by law, Quillific may use third-party service providers to generate outputs securely on your behalf.

5. Subscriptions and Payments

Certain features or advanced capabilities may require a paid subscription. Subscription details, including pricing, billing intervals, and refund policies, are provided at the point of purchase.

Payments are handled by third-party payment processors. We do not store your full payment card information.

Your subscription will automatically renew unless you cancel before the renewal date, as described in the subscription terms presented at checkout.

6. Intellectual Property

All intellectual property rights in Quillific, including software, design, trademarks, text, graphics, and other proprietary material, are owned by or licensed to Pronunciator LLC, except for User Content submitted by you.

You may not copy, modify, distribute, sell, or lease any portion of the Services without our written permission.

7. Privacy and Cookies

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect personal data. On the public website, we may use strictly necessary cookies and, where applicable, optional analytics cookies with your consent.

The logged-in Quillific app does not use marketing or behavioral tracking cookies. For details about how we use cookies and similar technologies, please see our Cookie Policy.

8. Third-Party Services

Quillific may integrate with or depend on third-party services, such as hosting providers, artificial intelligence APIs, analytics tools (on the website), or email delivery services. Use of these services may be subject to their own terms and policies.

We are not responsible for the content, availability, or practices of third-party services, and we do not endorse or assume liability for them.

9. Prohibited Conduct

You agree not to misuse the Services. Prohibited conduct includes, but is not limited to:

  • Attempting to override or bypass security or access controls;
  • Copying or scraping the Services for competitive or commercial purposes;
  • Introducing malware or harmful code;
  • Using automated systems (bots, scrapers) without permission;
  • Interfering with the proper functioning of the Services.

10. Service Availability and Modifications

We may update, modify, or discontinue portions of the Services at any time to improve functionality, fix issues, or ensure compliance with law.

We will make reasonable efforts to notify users of major changes that materially affect use of the Services. However, we are not liable for any interruptions or changes to the Services.

11. Disclaimers

The Services are provided on an “as-is” and “as-available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Services will be uninterrupted, error-free, or secure, or that any generated content will be accurate, reliable, or suitable for your needs.

12. Limitation of Liability

To the fullest extent permitted by law, Pronunciator LLC and its affiliates, officers, employees, and contractors are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Services or reliance on AI-generated content.

Our total liability for any claim arising out of or relating to these Terms or the Services is limited to the amount you paid to use the Services in the 12 months preceding the claim, or $50 USD if no payment was made.

13. Indemnification

You agree to indemnify, defend, and hold harmless Pronunciator LLC and its affiliates from any claims, damages, liabilities, and expenses arising from your misuse of the Services, violation of these Terms, or infringement of any third party’s rights.

14. Termination

We may suspend or terminate your access to the Services at any time if you violate these Terms, misuse the Services, pose a security risk, or engage in illegal activity.

You may stop using the Services at any time. Upon termination, your right to access or use the Services stops immediately.

15. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.

Any disputes arising from these Terms or the Services must be brought in the state or federal courts located in Wyoming, USA, unless applicable law provides otherwise.

16. Changes to These Terms

We may update these Terms from time to time. When we make changes, we will update the “Last updated” date at the top of this page. If changes are material, we may provide additional notice (for example, by email or through the Services).

If you continue to use the Services after updated Terms are posted, you are agreeing to the revised version.
